Director's dealing

On 28 April 2000, the Company was informed that, on the same day, Luke
Johnson, Chairman of Belgo Group, purchased 11 million ordinary shares in the
Company at 3 pence per share. Following this transaction Mr. Johnson is
interested in a total of 39,433,104 ordinary shares, representing 3.85 per
cent. of the Company's issued ordinary share capital.
