Baillie Gifford Shin Nippon PLC (the "Company") has today published a prospectus approved by the UK Listing Authority in relation to future issues of up to 12,291,832 ordinary shares of £0.10 each (the "New Shares").

The New Shares will be issued only (i) at a premium to net asset value; (ii) to meet demand from investors; and (iii) when the directors believe that it is in the best interests of the Company to do so. Therefore, as the issues have been proposed in principle by the directors to allow the Company to issue new ordinary shares to satisfy demand from investors at times when the ordinary shares are trading at a premium to the net asset value per ordinary share, the issue of the New Shares pursuant to the issues will not result in a dilution of the net asset value per ordinary share.
