NOTIFICATION OF MAJOR INTERESTS IN SHARES


In accordance with DTR 5 of the Transparency Obligations Directive (Disclosure
and Transparency Rules) Instrument 2006, Deutsche Bank has notified Babcock
International Group PLC ('the Company') on 20 July 2007 that Deutsche Bank AG
and its subsidiary companies had an overall interest in 11,515,521 shares of the
Company, representing 5.03% of the total voting rights.
