             MANPOWER SOFTWARE PLC ('Manpower' or 'the Company')

                            Dealings by Directors


The Company has been notified that Mrs S Drummond, the wife of Mr R Drummond,
the Managing Director of the Company, has acquired an additional 80,000 5p
ordinary shares in the Company (representing 0.33 per cent. of the Company's
issued share capital) at 25p per ordinary share. As a result of this
transaction, Mr Drummond's beneficial shareholding in the Company is 1,194,487
ordinary shares (representing 4.99 per cent. of the Company's issued share
capital).
