                         Placing and Additional Listing

Pentagon Protection is pleased to announce that it has today placed 10,000,000
new ordinary shares of 0.1p each ('Ordinary Shares') in the Company at 3.6p per
share to raise £360,000 of working capital for the Company. The shares have been
placed with institutions and clients of the Company's broker, Seymour Pierce
Ellis Limited.

Application has today been made for the admission of the new shares to trading
on AIM. The shares will rank pari passu with the existing Ordinary Shares of the
Company. Dealings in the new Ordinary Shares are expected to commence on 9 July
2003.
