                        Anite Group plc (the 'Company')

Application has been made to the Financial Services Authority and the London
Stock Exchange plc for 5,227,364 ordinary shares of 10p each ('shares') to be
admitted to the Official List.

It is expected that admission of the new shares will be granted on 30 July 2002
and trading will commence on 31 July 2002.

23,016,581 shares are being issued as deferred consideration for the acquisition
of Calculus Solutions Limited and 2,210,783 shares are being issued as deferred
consideration for the acquisition of Parsec Systems Limited.

These shares will rank pari passu with the existing issued Ordinary shares.
