Notification of Change in Holding

 

The Company has granted a request received from Adrian Beeston to transfer half of his shareholding in the Company to his wife, Sarah Rossi Beeston, for personal tax reasons. This transfer is conditional upon Mrs Beeston entering into a lock-in agreement with the Company.

Prior to Admission of the Company to the Official List and to trading on the Main Market of the London Stock Exchange PLC, Mr Beeston agreed with the Company that he would not, other than in certain limited circumstances, dispose of any shares in the Company (Lock-in Agreement). Mr Beeston remains subject to the Lock-in Agreement in relation to his remaining shareholding.  Mrs Beeston's lock-in agreement is on substantially similar terms to the Lock-in Agreement and is for a period of 12 months from 3 August 2018, being the same period as the Lock-in Agreement.

Prior to the transfer, Mr Beeston owned 12.6 million ordinary shares of £0.001 each in the Company (Ordinary Shares). Following the transfer, Mr Beeston will own 6.3 million Ordinary Shares, and Mrs Beeston will own 6.3 million Ordinary Shares. Mr and Mrs Beeston will therefore each hold approximately 2.14% of the Company's share capital.
