At today's Annual General Meeting all resolutions were passed by shareholders.

Notes to the proxy votes
     
1.   Any proxy appointments which give discretion to the Chairman have been
     included in the total of proxy votes for each resolution.

2.   The above proxy voting instructions were received prior to the meeting.

3.   Percentages are calculated on the basis of votes cast and therefore exclude 
     abstentions.

4.   The Company had in issue 985,856,695 ordinary shares carrying one vote 
     each, and 2,000,000 5% Cumulative Preference Shares carrying 100 votes 
     each. Accordingly, the total number of available votes at the Annual 
     General Meeting was 1,185,856,695 votes.

Two copies of resolution 9 passed at the Annual General Meeting will be
submitted to the UK Listing Authority today and will shortly be available for
inspection at the UK Listing Authority's Document Viewing Facility, which is
situated at the Financial Services Authority, 25 The North Colonade, London E14
5HS.
