                  Notification of Directors' Interests
                                                                        
Andrews Sykes Group plc has today been notified by the Trustee that  the
1998  Employee  Share Ownership Plan has today purchased 5,000  Ordinary
20p  shares  at 112p per share.  Following this purchase the holding  of
the  Employee  Share  Ownership  Plan is  150,000  Ordinary  20p  shares
representing 0.17% of the Company's issued share capital.

The following directors are potential beneficiaries under the scheme and
therefore are deemed to have acquired a non-beneficial interest in these
shares.
