                   Notification of Directors' Interest

Andrews  Sykes  Group  plc was notified by the  Trustee  that  the  1998
Employee  Share  Ownership Plan purchased a further 5,000  Ordinary  20p
shares  at 113p per share on 27th October 1999.  Following this purchase
the holding of the Employee Share Ownership Plan is 175,000 Ordinary 20p
shares representing 0.205% of the Company's issued share capital.

The following directors are potential beneficiaries under the Scheme and
therefore are deemed to have acquired a non-beneficial interest in these
shares.
