                   Notification of Directors' Interest
                                    
Andrews Sykes Group plc was today notified by the Trustee that the  1998
Employee  Share  Ownership Plan purchased a further 5,000  ordinary  20p
shares  at 114p per share.  Following this purchase the holding  of  the
Employee   Share   Ownership  Plan  is  280,000  ordinary   20p   shares
representing 0.329% of the Company's issued share capital.

The following directors are potential beneficiaries under the Scheme and
therefore are deemed to have acquired a non-beneficial interest in these
shares.

The  shares  are registered in the name of Worthy Trust Company  Limited
