Issue of Equity & Total Voting Rights

ALBION VENTURE CAPITAL TRUST PLC

The final allotment for the Albion VCTs Top Up Offers 2012/2013 (the 'Offers') took place on 12 June 2013. The Offer closed on 5 April 2013 and this allotment is in respect of applications received before that date. The allotment on the 12 June 2013 is in respect of the tax year end 5 April 2014. The total raised under the Offers across six of the funds managed by Albion Ventures LLP was £12.8m (including amounts reinvested). The Offers constitute separate Offers made by each of the Albion VCT's which are participating in it.

New Ordinary shares of nominal value 1 penny per share in Albion Venture Capital Trust PLC were issued under the Offers (which was launched on 19 October 2012) on 12 June 2013 at an issue price of 76.8 pence per New Ordinary share.

Applications for 99,020 New Ordinary shares in Albion Venture Capital Trust PLC were received.

The net proceeds for this allotment by the Company are approximately £74,000.

The gross sum raised by the Company by way of the issue of new shares in the last 12 months (through top up offers and dividend reinvestment schemes) is approximately £2,510,000 (representing approximately 5.2% of the issued share capital).

Application has been made to the Financial Conduct Authority for 99,020 New Ordinary shares to be admitted to the Official List and to the London Stock Exchange for the New Ordinary shares to be admitted to trading on the London Stock Exchange's market for listed securities.

It is expected that admission will become effective and that dealings in the shares will commence on or before 8.00 a.m. on 17 June 2013.

Following this allotment, and in conformity with the Transparency Directive's transitional provision 6, we would like to notify the market of the following:

Albion Venture Capital Trust PLC's capital as at 12 June 2013 consists of 62,921,861 Ordinary shares with a nominal value of 1 penny each. Of these, 4,152,440 Ordinary shares are held in Treasury.

Therefore, the total number of voting rights in Albion Venture Capital Trust PLC is 58,769,421, which may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Albion Venture Capital Trust PLC under the FCA Disclosure and Transparency Rules.
