On  18 July 2003 Mr Oliver Henry James Stocken, a director of 3i Group plc,
became beneficially interested in 87 Shares of 50p each in 3i Group plc. The
shares were purchased on 18 July 2003 through the 3i Dividend Re-Investment Plan
administered by Lloyds TSB Registrars at a price of £5.947385 per share. The
Company was notified of Mr Oliver Henry James Stocken's interest in these shares
on 6 August 2003.



Note: the above announcement is in addition to, and separate from, a similar
announcement made on 24 July 2003 relating to Mr Stocken.   By way of
explanation: Mr Stocken is interested in two separate holdings of shares, each
of which participates in the 3i Dividend Re-Investment Plan.
