XP Power Limited ("the Company") announces Duncan Penny, Chief Executive, has
transferred 326,990 XP Power Limited ordinary shares of 1p each ("Ordinary
Shares") into a trust of which he and his wife are the principal beneficiaries.
Subsequent to the transfer, Mr. Penny remains interested in a total of 326,990
Ordinary Shares, representing 1.70% of the Company's issued share capital.
