Conversion of Subscription Shares

The Company's capital consists of ordinary shares of 25p, with each ordinary
share holding one voting right and also subscription shares conferring the
right to subscribe for ordinary shares. Following the exercise of 75,471
subscription shares, at 699p per share, in the period to the exercise date of
31 July 2013, the total number of ordinary shares in issue is 45,888,385. The
Company has no ordinary shares in Treasury.

Therefore, the total number of voting rights in Worldwide Healthcare Trust PLC
is 45,888,385.

The total number of subscription shares in issue is 2,264,695.

It is expected that admission to the Official List and commencement of dealings
in the Shares on the London Stock Exchange will take place at 8.00 a.m. on
Wednesday, 7 August 2013.
