Requisition of General Meeting

                        REQUISITION OF GENERAL MEETING                         

The Directors announce that, on 6 August 2009, the Company received from
Fortelus Special Situations Master Fund Limited, a holder of not less than 5%
of the issued share capital of the Company, a requisition to convene a general
meeting of the Company for the purposes of considering resolutions to remove
John Hodson, Sir Clive Thomson and John Cornish as directors and to appoint
Michael Guy and Jonathan Macintosh as directors (the "Requisition").

The Companies Act 2006 requires that notice convening a general meeting be sent
within 21 days after receipt of a valid requisition and for the requisitioned
general meeting to be held not earlier than 21 days or more than 28 days later.
A notice convening the requisitioned general meeting will be sent to
shareholders in due course.

For the avoidance of doubt, the general meeting previously convened by the
Company on 29 July 2009 to consider a resolution to approve the acquisition by
the Company of 3i Group plc's limited partnership interest in Strategic
Recovery Fund II will proceed on 14 August 2009. As stated in the Company's
announcement of 8 July 2009, that acquisition is conditional on its completion
having occurred on or before 28 August 2009.
