POSTING OF ANNUAL REPORT AND CIRCULAR TO SHAREHOLDERS

ANNUAL GENERAL MEETING AND GENERAL MEETING

Pan African Shareholders ("Shareholders") are advised that the annual report
for the year ended 30 June 2012 ("Annual Report") and a Circular to
Shareholders ("Circular") relating to the proposed acquisition ("Acquisition")
of Evander Gold Mines Limited, the approval of the necessary authorities to
implement the rights offer that it is proposed will finance (in part) the
Acquisition and the convening of a General Meeting of the Company will both be
posted to Shareholders on Wednesday, 7 November 2012.

Notice is hereby given that the Annual General Meeting ("AGM") of the Company
will be held at the offices of Canaccord Genuity Limited, 8th Floor, 88 Wood
Street, London EC2V 7QR on Friday, 30 November 2012 at 10.00 GMT/12.00 CAT to
conduct the business set out in the Notice of AGM that is set out at the end of
the Annual Report.

Notice is also hereby given that a General Meeting of the Company will be held
at the offices of Canaccord Genuity Limited, 8th Floor, 88 Wood Street, London
EC2V 7QR on Friday, 30 November 2012 at 10.05 GMT/12.05 CAT (or as soon
thereafter as the AGM of the Company convened for the same date and place shall
have been concluded or adjourned) to conduct the business set out in the Notice
of General Meeting that is set out at the end of the Circular.

The Annual Report will be available on the Financial Reports section of
Company's website at www.panafricanresources.com/annual_reports.htm and the
Circular will be available on the Investor Relations, Company Documents section
at www.panafricanresources.com/company_docs.htm from Wednesday, 7 November
2012.
