ANNOUNCEMENT
APPOINTMENT OF INDEPENDENT FINANCIAL ADVISER

Reference is made to the announcements of Datang International Power Co., Ltd (the "Company") dated 29 June 2015 and 30 June 2015 (the "Announcements") in relation to the Entrusted Loan Framework Agreement, Entrusted Loan Agreement and Franchising Contracts. Unless otherwise defined in this announcement, capitalised terms used in this announcement shall have the same meanings as those defined in the Announcements.

Quam Capital Limited has been appointed as the independent financial adviser (the "Independent Financial Adviser") to advise the independent board committee and the independent shareholders in connection with the Entrusted Loan Framework Agreement and Entrusted Loan Agreement. The letter of advice from the Independent Financial Adviser in respect of the Entrusted Loan Framework Agreement and Entrusted Loan Agreement will be included in the circular to be despatched by the Company in due course.

The Company has appointed Quam Capital Limited as the independent financial adviser to provide independent advice in respect of the term of the Franchising Contracts in accordance with the requirements as stipulated in Rule 14A.52 of Listing Rules, and to explain why a longer period is required and to confirm that it is normal business practice for contracts of this type to be of such duration.
