Transaction in Own Shares

The Board of Baronsmead VCT 3 plc announces that on 29 September 2011 the
Company purchased 100,000 ordinary shares of 10p at a price of 95.00 pence per
share to be held in Treasury.

Following the share buyback, the Company's issued ordinary share capital
consists of 67,619,851 shares of which 7,857,317 shares are held in Treasury.
Therefore the total number of shares with voting rights in Baronsmead VCT 3 plc
is 59,762,534 ordinary shares of 10p. Each share has one voting right.
