          IBM Board Declares Regular Quarterly Cash Dividend

The IBM board of directors today declared a regular quarterly cash
dividend of $.15 per common share, payable March 10, 2003 to
shareholders of record February 10, 2003.

IBM also announced that its next annual meeting will be held April 29,
2003 at the Kansas City Convention Center in Kansas City, Missouri.
