Zenith Energy Ltd. ("Zenith" or the "Company") (LSE: ZEN; OSE: ZENA; XSAT: ZENA SDR), the listed international energy production and development company, confirms that an application has been made for admission to trading to the Transition Category of the FCA Official List and on the Main Market for listed securities of the London Stock Exchange of 152,852,721 common shares of no par value ("Common Shares"). The Common Shares already form part of the Company's outstanding share capital and do not represent a new equity issuance.

Admission for the Common Shares to be admitted to trading to the Transition Category of the FCA Official List and on the Main Market for listed securities of the London Stock Exchange is expected to take place on May 27, 2026 ("Admission").

Following Admission, the number of Common Shares admitted to the Transition Category of the FCA Official List and to trading on the Main Market for listed securities of the London Stock Exchange will be 714,756,457, the same number admitted to trading on the Euronext Growth of the Oslo Stock Exchange and on the Spotlight Stock Market in Sweden.  The Company has 714,756,457 Ordinary Shares in issue, each with one voting right. The Company does not hold any shares in treasury and therefore the total number of voting rights in the Company is 714,756,457. This figure should be used by shareholders from Admission as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company under the FCA's Disclosure Guidance and Transparency Rules.
