Result of General Meeting

At the General Meeting of J D Wetherspoon plc ("J D Wetherspoon" or the "Company") held earlier today, 23 July 2026, both resolutions proposed at the meeting were duly passed by poll.

Resolution 1, to approve the waiver granted by the Panel on Takeovers and Mergers of the obligation that would otherwise arise on the Concert Party to make an offer to shareholders of the Company pursuant to Rule 9 of the City Code on Takeovers and Mergers as a result of any market purchases of Ordinary Shares by the Company pursuant to the New Buyback Authority, was approved by the Independent Shareholders.

Members of the Concert Party were not eligible to vote on Resolution 1.

Resolution 2, to approve the New Buyback Authority, was also duly passed. Accordingly, the New Buyback Authority has replaced the Existing Buyback Authority and will remain in force until the conclusion of the Company's annual general meeting to be held in 2027.
