Ward & Hagon Contract Renewal and Directorate Change
Warpaint London plc (AIM: W7L), the specialist supplier of high-quality colour cosmetics and personal care brands at an affordable price, confirms that, further to its AGM statement on 16 June 2026 (the "AGM Statement"), it has now renewed its contract (the "Contract") with Ward & Hagon Management Consulting LLP ("Ward & Hagon"). The Contract is subject to a six-month notice period which can be served by either party.
The Company originally appointed Ward & Hagon, a provider of practical business solutions, in February 2020 to assist it in implementing its strategic growth plan. The objective of the Contract renewal is to continue to accelerate Warpaint's growth and drive further business transformation.
As indicated in the AGM Statement, the new Contract provides additional sales responsibilities and increased time commitments to reflect the increase in the size of the Warpaint business, both organically and with the acquisitions of Brand Architekts and the Barry M brand. As part of these additional sales responsibilities, Martyn Ward, of Ward & Hagon, will hold the title of Group Head of Sales for Warpaint and will have responsibility for coordinating and managing all the Group's sales activities.
The Contract has a fixed value of £405,000 per annum which reflects the additional sales responsibilities and increased time commitments and includes the services of Martyn Ward and Paul Hagon, together with other members of the Ward & Hagon team. In addition, Ward & Hagon has an opportunity under the Contract to earn up to £300,000 per annum through non-discretionary performance related sales bonuses and commissions. Payments under the Contract will be satisfied from the Group's operating cash flows.
The Board is of the view that Ward & Hagon has been important to the Group's success over the last few years and that the services provided under the Contract represent good value and have made a significant contribution to the growth of the Group.
Confirmation of Directorate Change
Further to the AGM Statement, the Company confirms that, following the renewal of the Contract, Paul Hagon has now stepped down from his role as a director of the Company.
Related Party Transaction
Paul Hagon, an executive director of Warpaint at the time of the Contract renewal, is a member of Ward & Hagon. Accordingly, the renewal of the Contract is classified as a related party transaction pursuant to the AIM Rules for Companies. The independent directors of the Company (being all executive and non-executive directors except Mr Hagon), having consulted with Shore Capital, the Company's Nominated Adviser, consider that the terms of the Contract renewal are fair and reasonable insofar as the Company's shareholders are concerned.
