Result of AGM, Share Consolidation and TVR

 

VSA Capital Group plc (Aquis: VSA), the international investment banking and broking firm is pleased to announce that it held its annual general meeting this morning and all resolutions proposed by the Company were carried.

 

Share Consolidation

As a result of Resolution 7 having been passed at the AGM, shareholders have approved the share consolidation and every 10,000 existing ordinary shares of £0.01 each ("Existing Ordinary Shares") will be consolidated into one new ordinary share of £100 (the "New Ordinary Shares") (the "Share Consolidation"). As at the Record Date, being 6.00 p.m. on 10 September 2026, the 23,928,966 Existing Ordinary Shares will be consolidated into 2,393 New Ordinary Shares. 

 

Application has been made to the AQSE Exchange for 2,393 New Ordinary Shares to be admitted to trading. It is expected that trading in the New Ordinary Shares will commence at 8:00 am tomorrow that is on Friday 11 September 2026 under new ISIN GB00BV9BC937. CREST accounts will be updated on 11 September 2026. 

 

Total Voting Rights

Following the Share Consolidation, the Company's total issued share capital will comprise 2,393 New Ordinary Shares of £100 each with voting rights, of which 147 are held in treasury. For reporting purposes under the FCA's Disclosure and Transparency Rules the market should exclude any shares held in treasury and should use the figure 2,246 when determining if they are required to notify their interest in, or a change to their interest in the Company.
