Volution Group plc ("Volution" or "the Group" or "the Company", LSE: FAN), a leading international designer and manufacturer of energy efficient indoor air quality solutions, is pleased to announce that it has acquired getAir GmbH ("getAir").

Founded in 2014 by Oliver Schmitz and headquartered in Mönchengladbach, Germany, getAir is a leading provider of decentralised residential heat recovery ventilation systems to a wide range of primarily German and European OEM customers.

Building regulations in Europe targeting carbon reduction, combined with consumer demand to reduce energy costs, continue to drive the adoption of energy efficient ventilation solutions, most notably heat recovery. The acquisition of getAir's innovative product portfolio and strong product development capability further strengthens Volution's leadership position in the European residential decentralised heat recovery ventilation market, and complements Volution's existing brands and businesses in the UK, Germany, Netherlands, Slovenia and Croatia. It will be reported as part of Volution's Continental Europe region, and the leadership team will remain with the business post the acquisition.

Consideration for the acquisition on a cash and debt free basis is €40 million (approximately £34 million) on completion, funded from Volution's existing debt facilities.  getAir revenue for the twelve months ending 30 June 2026 (unaudited) was €13.9 million with adjusted EBITDA of c.€4.0 million.  The acquisition will be immediately earnings accretive and provides additional inorganic revenue momentum for our new financial year.
