2026 Annual General Meeting - Views of Shareholders

At Videndum plc's AGM held on 19 May 2026, the following resolutions received against votes representing over 20% of votes cast:-

·      Resolution 5 - Reappointment of Anna Vikstrom Persson - 27.35% against votes

·      Resolution 7 - Reappointment of Eva Lindqvist - 27.35% of against votes.

In line with provision 4 of the 2024 UK Corporate Governance Code, the Chairman and several other Directors have held meetings with several of Videndum's largest shareholders, including those that voted against the above resolutions, shortly after the 2026 AGM to understand their views.  Following consultation, it is understood that the votes against were in respect of concerns around the implementation of the Company's shareholder approved remuneration policy for 2026. The votes were cast against: (i) Anna Vikstrom Persson given her role as Chair of the Remuneration Committee; and (ii) Eva Lindqvist given her role as Senior Independent Director and member of the Remuneration Committee.  After discussing the matter, those shareholders consulted (including those that voted against the above resolutions) have confirmed that they understand the Remuneration Committee's rationale for the implementation of the remuneration policy for 2026 and that they are supportive of both directors going forward.  As such, the Board considers that no further action is required at this point.
