Result of AGM & Issue of Warrants

London, UK - ValiRx Plc (AIM: VAL), a life science company focusing on early-stage cancer therapeutics and women's health announces that at its Annual General Meeting ("AGM") held earlier today, all resolutions were duly passed.
Details of the votes received will be available on the Company's website shortly.
Issue of Warrants
Pursuant to the Fundraising and in connection with the issuance of the Fee Shares the Company has issued 577,500,000 Fundraising Warrants. The Fundraising Warrants will be exercisable at a price of 0.28 pence per Ordinary Share and are exercisable at any time until the third anniversary of date of grant.
In addition, the Company has issued 53,750,000 Broker Warrants. The Broker Warrants will be exercisable at the Issue Price. The Broker Warrants are exercisable at any time until the third anniversary of date of grant.
Terms used but not defined in this announcement have the same meaning as set out in the Company's announcement released at 7.00 a.m. on 15 May 2026.
Directorate Change
The Company announces that Cathy Tralau-Stewart did not stand for re-election as a Non-Executive Director at the Company's AGM held earlier today. Accordingly, following the conclusion of the AGM, Cathy has stepped down from the Board with immediate effect.
The Board would like to thank Cathy for her valuable contribution to the Company during her tenure and wishes her every success in the future.
Cathy Tralau-Stewart commented:
"I am committed to supporting the broader translation of academic science to patients and as such I think my time is best spent focusing on my leadership of the Milner Therapeutics Institute, University of Cambridge.
I am confident in the current management and scientific teams and that focusing the portfolio on later stage pre-clinical projects is important for the Company to deliver for shareholders.
I wish ValiRx and the team the best for the future."
Martin Gouldstone, Non-Executive Chairman of ValiRx commented:
"On behalf of the Board of VAL plc I would like to say a big thank you to Cathy for her scientific leadership in both her roles as CSO and more recently on the Board.
