Adjournment of Annual General Meeting

Union Jack Oil plc (AIM: UJO), a UK and USA focused onshore hydrocarbon production, development and exploration company, announces that the Annual General Meeting ("AGM") due to be held today has been adjourned until further notice.

David Bramhill, Executive Chairman, made the following statement at the meeting:

"As you know, the Company published the 2025 Annual Accounts towards the end of May. On 15 June the Company announced that it had received a non-binding indicative offer letter from Reabold Resources plc regarding a possible all share offer by Reabold for the entire issued share capital of the Company. Discussions with Reabold regarding the detailed terms of the possible offer are continuing.

I believe that the making of an offer by Reabold may have a bearing on the nature of some of the resolutions proposed in the Notice of AGM. For example, any change of the Company's management at this stage might impede Reabold from continuing to pursue an acquisition of the Company. I also believe that the emergence of an offer from Reabold might have an impact on a reasonable shareholder's decision as to how to vote on the business proposed to be conducted at the AGM.

Accordingly I have therefore decided to adjourn today's AGM in accordance with the Company's Articles of Association in order to allow shareholders a proper opportunity to consider the implications of any possible offer from Reabold and the bearing any such offer might have on their decision as to how to vote on the business proposed to be conducted at the AGM.

Shareholders will be notified in due manner of the date, time and place of the adjourned AGM."

Further announcements detailing a new date, time and revised voting instructions in relation to the adjourned meeting will follow in due course.
