Issue of Shares following December funding receipt

Ubuntu Mining & Metals Inc. (AQSE: UNTU) is pleased to announce that further to the announcement of 23 December 2025, following the receipt of £250,000 placing proceeds, the Company will issue 100,000,000 ordinary shares of $0.0005 each ("Ordinary Shares"). Gathoni Muchai Investments Limited ("GMI"), a company controlled by Jason Brewer, Strategic Adviser to the Company, underwrote the fundraising.

Following the issue, the Strategic Adviser and Directors' holdings will be:

Total Voting Rights

In accordance with the Financial Conduct Authority's Disclosure and Transparency Rules, the Company hereby announces that it has 273,003,836 Ordinary Shares in issue, each share carrying the right to one vote.

The Company does not hold any Ordinary Shares in treasury.

The above figure of 273,003,836 Ordinary Shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
