CLN Conversion and Issue of Equity

 

Trafalgar Minerals PLC (AIM: TRAF), announces the conversion of the remaining outstanding convertible loan notes held by Wager Holdings Limited ("Wager") ("CLNs") into ordinary shares of £0.01 each in the Company ("Ordinary Shares") following receipt of a conversion notice from Wager.

The conversion by Wager of its remaining outstanding CLNs in the principal amount of £44,444 will be effected in accordance with their terms, details of which are outlined in the Company's circular posted to shareholders on 17 April 2026. The conversion amount will be satisfied through the issue of 444,440 new Ordinary Shares at a conversion price of £0.1 per Ordinary Share (the "Conversion Shares"). The Conversion Shares will rank pari passu in all respects with the Company's existing Ordinary Shares. Application has been made for the Conversion Shares to be admitted to trading on AIM ("Admission") and it is expected that Admission will become effective and that dealings in the Conversion Shares will commence on AIM at 8.00 a.m. on or around 26 August 2026.

Total Voting Rights

Following Admission, the Company will have 41,457,661 Ordinary Shares in issue, each carrying one voting right. The Company does not hold any Ordinary Shares in treasury.

Accordingly, the total number of voting rights in the Company will be 41,457,661. Shareholders may use this figure as the denominator for calculations by which they determine whether they are required to notify their interest in, or change to their interest in, the Company's share capital under the FCA's Disclosure Guidance and Transparency Rules.
