Disclosure of Interest in Shares - s198 Companies Act 1985

Amshold Limited hereby notifies the Company that on 20 December 2000 it entered
into a conditional contract for the sale of 27,356,649 ordinary shares of 5
pence each in the capital of the Company and has granted an option to enable a
third party to acquire 13,396,026 ordinary shares of 5 pence in the capital of
the Company (being the number of ordinary shares of the Company in which Amshold
Limited will remain interested following completion of the aforementioned sale).
