Notification pursuant to s324 Companies Act 1985

Alan M Sugar, hereby notifies the Company that Amshold Limited (a company with
which he is connected in terms of schedule 13 of the Companies Act 1985) has on
20 December 2000 entered into a conditional contract to sell 27,356,649 ordinary
shares of 5 pence each in the capital of the Company and has granted an option
to enable a third party to acquire 13,396,026 ordinary shares of 5 pence each in
the capital of the Company.
