ISSUE OF NEW TEAM SHARES AND TOTAL VOTING RIGHTS

Further to the Company's announcement earlier today that the Scheme has become Effective in accordance with its terms and WH Ireland is now a wholly-owned subsidiary of Team, application has been made for 47,360,408 New Shares to be admitted to trading in connection with the Acquisition (the "New Team Shares"). Admission of the New Team Shares is expected to become effective and trading will commence in the New Team Shares at or around 8.00 a.m. on 25 March 2026.

Following the admission of the New Team Shares, Team's issued share capital will comprise 109,700,430 ordinary shares of no par value in the Company, none of which are held in treasury. Accordingly, the figure of 109,700,430 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure Guidance and Transparency Rules.

All defined terms used herein shall have the meanings given to them in the Scheme Document.
