Share Buyback Programme

 

 

Taylor Wimpey plc (the "Company" or "Taylor Wimpey") announces that it has entered into an arrangement with Merrill Lynch International ("MLI") to purchase up to £41,900,000 of the Company's ordinary shares of 1 pence each (the "Shares") pursuant to a share buyback programme announced today (the "Buyback Programme").  MLI will act as riskless principal for the simultaneous on-sale of such Shares to the Company and will make its trading decisions independently of the Company. 

 

Purchases of the Shares under the Buyback Programme will commence on 31 July 2026 and end no later than 31 December 2026. The aggregate maximum pecuniary amount allocated to the Buyback Programme is £41,900,000 (exclusive of associated fees, expenses and Stamp Duty). The purpose of the Buyback Programme is to reduce the share capital of the Company.

 

MLI may effect purchases of Shares under the Buyback Programme on the London Stock Exchange. The Company intends that the Shares purchased under the Buyback Programme will be cancelled.

 

Any acquisitions under the Buyback Programme will be carried out within certain pre-set parameters specified in the agreement with MLI, and will be made in accordance with the Company's general authority to repurchase shares as granted at the Company's Annual General Meeting on 28 April 2026, pursuant to which the maximum number of Shares that may be bought back by the Company may not exceed 333,809,915.

 

The Buyback Programme will be conducted in accordance with the Market Abuse Regulation (EU) No 596/2014 (as it forms part of UK domestic law by virtue of the European Union (Withdrawal) Act 2018, as amended), the Commission Delegated Regulation 2016/1052/EU (as it forms part of UK domestic law by virtue of the European Union (Withdrawal) Act 2018, as amended) and Chapter 9 of the UK Listing Rules.

 

The Company will make further announcements in due course following any repurchase of Shares.
