Re: Notification of Directors' Shares appropriated under the Thames Water
Profit Sharing Scheme.

On 8 August 2000, ordinary 23p shares were appropriated under the Thames Water
Profit Sharing Scheme which is open to all eligible employees. 26 ordinary
shares at a price of £7.975 were appropriated to each employee including the
eligible Executive Directors of Thames Water Plc: Bill Alexander and David
Badcock. The shares were registered in the name of Thames Water Share Scheme
Trustees Limited and are held in trust for each employee.
