Acquisition of Plus Group accelerates AI capability and strengthens technology offering

Tavistock (AIM:TAVI), the investment advice company, is pleased to announce the acquisition of 87.9% of Plus Group of Companies Limited ("Plus Group"), a leading provider of AI Agent technology and paraplanning services to UK financial advisory firms.

The acquisition represents another significant step forward in Tavistock's strategy to build a technology-enabled financial services group that combines advice, investment management, and intelligent automation for retail investors. It also kickstarts the Group's rebranding transition into the Vertex Group, following the recent acquisitions of Alpha Beta Partners and Lifetime Financial Management.

Transaction Details

The initial consideration for the acquisition is £900,000 payable in cash with a further £3.6 million payable in cash over the next eighteen months. Additional deferred consideration of up to £11.5m in cash may become payable over the balance of 4 years, subject to agreed performance criteria.

In its last financial year to 30 September 2025, Plus Group recorded turnover of just less than £1 million and EBITDA of circa £340,000.

Strategic rationale

Artificial intelligence is expected to transform financial services over the coming decade and beyond. Tavistock believes the greatest opportunity lies not in replacing advisers, but in equipping them with intelligent tools that ease administrative burdens and improve consistency, thereby allowing them to spend more time delivering value to clients

Plus Group's expertise in paraplanning, combined with its proprietary AI Agent technology, significantly strengthens Tavistock's ability to accelerate this strategy.

The acquisition complements the Group's existing financial advice and investment management businesses, whilst providing a scalable platform for future innovation across the wider organisation.

Accelerating innovation

Plus Group has already been working closely with Lifetime Financial Management over the past twelve months to develop AI-enabled solutions that support adviser productivity and operational efficiency.

The business currently has:

·    Two AI Agents operating live within production environments

·    Two further AI Agents in beta testing

·    10 additional AI Agents under development

These capabilities provide Tavistock with a strong foundation from which to continue developing technology that enhances adviser productivity while maintaining appropriate human oversight and advice.
