Sub:    Acquisition of entire stake in Medica TS Hospital Private Limited

 

This is further to our disclosure dated March 17, 2026 on the abovementioned subject.

 

This is to inform you that, Tata Steel Limited ('Company') has today i.e. on March 30, 2026, completed the acquisition of the following securities in Medica TS Hospital Private Limited ('Medica TS Hospital'), a subsidiary company, from Manipal Hospitals Eastern India Private Limited (formerly known as Medica Hospitals Private Limited), as per the terms and conditions of the Share Purchase Agreement executed on March 17, 2026, for an aggregate consideration of ₹1.49 crore:

 

a)   7,40,000 equity shares of face value ₹10/- each, constituting 49% equity stake in Medica TS Hospital; and

b)   2,30,05,182, - 0.01% Optionally Convertible Redeemable Preference Shares ('OCRPS') constituting 31.85% of preference share stake of Medica TS Hospital.

 

On completion of the aforesaid acquisition, Tata Steel Limited holds 100% stake in equity shareholding and in OCRPS of Medica TS Hospital.  Medica TS Hospital has become a wholly owned subsidiary of the Company.
