Result of General Meeting

The Board of Sutton Harbour announces that at the General Meeting of the Company held earlier today, the special resolutions to approve the cancellation of the admission of the Company's Ordinary Shares to trading on AIM, and re-register as a private company and approve the adoption of new articles of association, were put to the Company's shareholders and were duly passed.

The full text of the Resolutions proposed and passed at the General Meeting can be found in the Circular containing, inter alia, the Notice of General Meeting, which was published on  28 August 2026  and is available on the Company's website at www.suttonharbourgroup.com/investors.

The total votes cast on the Resolutions, incorporating proxy votes lodged in advance of the General Meeting, were as set out below:

AIM Cancellation

In accordance with Rule 41 of the AIM Rules for Companies, cancellation of the admission of the Company's Ordinary Shares to trading on AIM is expected to become effective at 7:00 a.m. on Wednesday, 30 September 2026 and, accordingly, the last day of dealings in Ordinary Shares on AIM is expected to be Tuesday, 29 September 2026. Any amendments to this timetable will be notified to shareholders.

Re-registration as a private company

In accordance with the passing of Resolution 2, following Cancellation the Company will re-register as a private limited company and adopt new articles of association.
