Strategic and business update

 

SYME, the fintech business which provides an innovative fintech platform (the "Platform") for use by manufacturing and trading companies to access Inventory Monetisation© ("IM") solutions enabling their businesses to generate cashflow, provides the following strategic update in relation to the proposed strategic repositioning project initially announced on 6 January 2026, and the following business update in relation to (i) the publication of the annual report and accounts for the year ended 31 December 2025 (the "2025 Annual Report and Accounts"); and (ii) a general business activity.

Strategic update

On 6 January 2026, the Company announced that it had entered into non-binding heads of terms with Société Financière Européenne SA ("SFE") in relation to the proposed acquisition of SFE's inventory ownership business which comprises independent stock companies (together, the "Stock Companies"), together with the relevant contractual arrangements, intellectual property rights and operating infrastructure used by the Stock Companies in connection with the inventory ownership business (together, the "IOB"). This was the original perimeter of the proposed acquisition. The Company further confirmed on the 16 June 2026, that negotiations with SFE were continuing.

Since then, the Board has continued to assess the constraints affecting the Group's existing business model and has expanded the proposed scope of the acquisition from SFE, through ongoing discussions, to also include an Italian regulated credit intermediation business and certain inventory monetisation funding know-how relating to relevant financing structures. The Board considers these additional elements to be important to the Group's proposed move towards a broader working-capital funding fintech platform, with the Italian regulated credit mediation business (which operates under the supervision of the OAM (Organismo Agenti e Mediatori)), expected to provide a regulated gateway for Italian origination and local bank relationships.

Alongside this, negotiations have been taking place in respect of related corporate and transaction-level funding arrangements between the Company and SFE Equity Investments SARL ("SFE EI"), a securitisation entity fully controlled by SFE.

At the time of this announcement, the definitive documentation relating to the proposed extension of the acquisition perimeter and the proposed corporate and transaction-level funding is yet to be signed and further details of these items will be provided following the definitive documentation being formalised by all parties.

Business update

2025 Annual Report and Accounts

As announced on 27 April 2026, the 2025 Annual Report and Accounts was not finalised by the 30 April 2026 deadline. The Company and its auditors, Bright Graham Murray, have continued to work on the financial statements and the remaining audit procedures, and further updates will be provided when possible.

 

General business activity

SYME is actively progressing its strategy which focuses on Italy as the Group's priority market. Following the recent Italian Destocking Decree, including amendments to the Italian securitisation framework for inventory destocking, the Board considers this to be a potential enabler for inventory monetisation at scale.

 

In connection with the negotiations referred to in the strategic update section update of this announcement, SYME is working with SFE EI and local transaction parties on a proposed asset-backed, revolving structure designed to finance inventory and future receivables. Under the current proposals, SFE EI and its local partners would provide the securitisation infrastructure and access to authorised Italian transaction parties, while SYME and its Italian subsidiaries would focus on origination, due diligence, inventory monitoring and specialist servicing.

 

In parallel, the Company is having active discussions concerning two potential new Italian IM transactions. The first is with Tekne S.p.A, an existing client of the Group, which has a proposed value of up to EUR 25 million. The EUR 25 million figure refers to the potential gross inventory and/or working capital transaction perimeter and it is not the expected revenue amount for SYME, nor does it not represent committed funding and should not be interpreted as a forecast.

 

The second potential new IM transaction is with another Italian industrial counterparty whose identity, and the proposed value, cannot currently be disclosed due to commercial confidentiality obligations, and the preliminary nature of the discussions.

 

Both opportunities remain subject to satisfactory due diligence, structuring, funder or investor approval, definitive documentation and the availability of transaction funding. There can be no certainty that either transaction will complete or, if completed, as to its final size or timing.

 

 

Related party and conflicts considerations

The Company continues to treat SFE and SFE EI as related parties for governance and regulatory assessment purposes because Alessandro Zamboni, SYME's Chief Executive Officer, is the sole director and ultimate beneficial owner of The AvantGarde Group S.p.A. ("TAG"), and TAG holds an indirect interest in SFE. In turn, SFE fully controls SFE EI. Mr Zamboni has declared his interests and has not or will not vote on relevant Board resolutions.

Further announcements

Further announcements will be made as appropriate, including in relation to the execution of definitive documentation in relation to any proposed acquisitions and any binding funding commitments, the publication of the 2025 Annual Report and Accounts, the lifting of the suspension in trading, and any material progress in relation to the Italian business opportunities described above.

Notes

SYME and its operating subsidiaries provide its Platform for use by manufacturing and trading companies to access inventory trade solutions enabling their businesses to generate cashflow, via a non-credit approach and without incurring debt. This is achieved by their existing eligible inventory being added to the Platform and then monetised via purchase by third-party Inventory Funders. The inventory to be monetised can include warehoused goods waiting to be sold to end-customers or goods that are part of a typical import/export transaction.
