Result of Annual General Meeting

Strix Group plc (AIM: KETL), the global leader in the design, manufacture and supply of kettle safety controls and other components and devices involving water heating and temperature control, steam management and water filtration, announces that at the annual general meeting (“AGM”) of the Company, held earlier today, Resolutions 1 to 11 and Resolution 14 were duly passed. Resolutions 12 and 13, which relate to the disapplication of pre-emption rights in respect of the allotment of new shares and were special resolutions requiring 75% approval, did not pass.

While Resolution 2 in respect of the Directors’ Remuneration Report, Resolution 6 in respect of re-election of Clare Foster and Resolution 10 in respect of the Directors powers to allot shares, all duly passed, the Board acknowledges the number of votes which were cast against these resolutions. The Board will seek to engage with shareholders to understand their concerns on these matters as well as on Resolutions 12 and 13, as required under the QCA Corporate Governance Code. The Company remains committed to maintaining transparent communication with its shareholders and will provide further updates in due course.
