NOTICE OF ANNUAL GENERAL MEETING

South32 Limited (ASX, LSE, JSE: S32; ADR: SOUHY) (South32) today releases its Notice of Annual General Meeting and Proxy Form for the 2026 Annual General Meeting (AGM).

The AGM will be held as a hybrid meeting on Thursday, 15 October 2026 at 12.00pm Australian Western Standard Time (AWST). Shareholders and guests will be able to attend the meeting physically at the Perth Convention and Exhibition Centre, 21 Mounts Bay Road, Perth, Western Australia or online at https://meetnow.global/S32AGM2026.

The Notice of Meeting will be sent to shareholders in accordance with their communication elections. Shareholders who have not made a hard copy or electronic election will receive a notice of access containing details of where the Notice of Meeting can be accessed.

In addition to the general business of the AGM, shareholders will be asked to vote on Resolution 7 to approve the proposed sale of South32's aluminium value chain assets (other than Mozal Aluminium) to Alcoa Corporation (Alcoa), as announced on 1 July 2026 (Proposed Disposal). Information to assist shareholders in considering the Proposed Disposal, including its key terms, benefits and risks, is set out in the Transaction Explanatory Memorandum accompanying the Notice of Meeting. The Transaction Explanatory Memorandum also contains an Independent Expert's Report prepared by Grant Samuel & Associates Pty Limited. These are important documents and should be read in full.

Along with the Notice of Meeting and accompanying materials, South32 will also dispatch to shareholders (on behalf of Alcoa) a copy of the registration statement on Form S-4 prepared by Alcoa and filed by Alcoa with the U.S. Securities and Exchange Commission in connection with the Proposed Disposal (Alcoa Form S-4).  A copy of the Alcoa Form S-4 was released to the ASX by Alcoa (and cross-released on South32's ASX announcements platform) on Wednesday, 9 September 2026.

The Alcoa Form S-4 should be read in full, in conjunction with the Notice of Meeting and Transaction Explanatory Memorandum. The Alcoa Form S-4 (other than information relating to South32 that has been provided by South32) has been prepared by, and is the responsibility of, Alcoa. Neither South32, nor any of its Related Bodies Corporate, nor any of each of their respective officers, directors, employees or advisers, assume any responsibility for the accuracy or completeness of the Alcoa Form S-4 and do not endorse or adopt the content of the Alcoa Form S-4 (other than information relating to South32 that has been provided by South32).
