The Board of Softcat, a leading UK provider of IT infrastructure technology and services, announces the extension of Graeme Watt's tenure as Non-Executive Chairman. This follows a thorough consultation process with Softcat's shareholders.

 

Having served as CEO of Softcat from April 2018 until his retirement from the role in July 2023, Graeme was appointed Non-Executive Chairman in August 2023. The extension of Graeme's appointment of up to April 2030, being three years beyond the nine years recommended by the UK Corporate Governance Code, is based on the Board's unanimous view that the extension is in the best interests of all shareholders given Graeme's extensive experience of the sector, as well as the independent challenge he continues to provide in chairing the Board's oversight of the Company's  governance, strategy and execution.

 

The review process was led by Lynne Weedall, Chair of the Nomination Committee and the shareholder engagement process was led by Jacqui Ferguson, the Company's Senior Independent Director.

 

Annual shareholder re-election and the ability for either party to give notice pursuant to the terms of Graeme's appointment all remain in place.
