SMITHS GROUP PLC (the 'Company')

£150,000,000 7.875% Bonds due 2010 (ISIN: XS0113721632) and £150,000,000 7.25% Bonds due 2016 (ISIN: XS0111725049) (together the 'Bonds')

The Company announces that its wholly owned subsidiary, Smiths Group International Holdings Limited ('SGIH'), has unconditionally and irrevocably guaranteed any sum payable by the Company under the Bonds, the coupons and the trust deeds constituting the Bonds as set out under supplemental trust deeds dated 6 May 2009 entered into among the Company, SGIH, and the trustees for the Bonds.
