Directorate Changes & Pre-Close Trading Update

 

22 September 2026 – SkinBioTherapeutics plc, (AIM: SBTX), the life science business focused on skin health announces that both the former interim CEO, Rachel Parsonage and former acting Chair, Alyson Levett have agreed to make their roles permanent. The Company has also released its pre-close trading update for the full year ended 30 June 2026 (FY26).

 

Interim CEO and Acting Chair to take on permanent roles

Rachel Parsonage was appointed as Interim CEO in March 2026 on an initial six-month contract. She brings over 25 years’ experience as a senior executive across the consumer beauty and wellness sectors. Her immediate mandate was to stabilise the business and ensure the Group continued to operate effectively while the forensic investigation was undertaken. Since her appointment, Rachel has made significant progress, including implementing operational improvements which are designed to build for future growth. She has agreed to assume the CEO position on a permanent basis.  

In addition, Alyson Levett who was appointed as Interim Chair in June 2026, will become the permanent Non-Executive Chair of the Board.  Her corporate governance experience has been invaluable in managing the forensic investigation earlier in the year. She will continue to act on an interim basis as the Chair of the Audit & Risk Committee.

The Company is in advanced discussions to appoint an additional Non-Executive Director to the Board, and an announcement will be made very soon.

 

Pre-Close Trading Update

Management expects to report revenue growth of approximately 20.5% to £4.7m (FY25: £3.9m restated).  This growth is predominantly driven by a full year's trading from Bio-Tech Solutions (BTS) which is expected to contribute revenue of £2.1m (FY25: £1.4m 9 months), representing an underlying increase in turnover of approximately 10.0% (this excludes intercompany sales). Revenue from the rest of the Group’s operations also delivered modest growth.

The adjusted EBITDA loss is expected to be £1.6m (FY25: loss £1.7m restated). Adjusted EBITDA is stated before exceptional costs of £1.2m (FY25: £0m restated).  These exceptional items comprise £0.7m of direct investigation costs and £0.5m of other one-off costs, including legal and employment-related costs, arising from the circumstances of the investigation.

Cash as at 30 June 2026 was £1.5m (2025: £4.8m).  Cash consumption in the 12 months to 30 June 2026 has been impacted by the EBITDA loss and the exceptional items. The Group has sufficient cash reserves to support its current operations and planned activities.

Trading in the early months of FY27 has been ahead of management’s internal expectations. The Board’s immediate priorities remain revenue growth, reducing the underlying operating loss and preserving cash.

The above figures are subject to review by the Company's auditors before publication of the final FY26 results later in the year.
