Exercise of options and sale of shares by PDMRs

SigmaRoc, a leading European lime and minerals group, announces that on 22 January 2026 it received notification from David Barrett, Chairman, and Max Vermorken, Chief Executive, both persons discharging material responsibilities ("PDMRs"), that they have each exercised certain options over ordinary shares of £0.01 each in the capital of the Company (the "Shares") granted to them under the Company's 2016 Share Option Plan (the "Options").

The Options were exercised on a cashless exercise basis and, as a result, Mr Barrett acquired 3,902,621 Shares and Mr Vermorken acquired 8,186,995 Shares on 22 January 2026. In settlement of the exercised Options, the SigmaRoc Employee Benefit Trust (the "EBT") transferred beneficial interest in the relevant Shares above to Mr Barrett and Mr Vermorken.

Following the transfer of beneficial interest in the Shares to Mr Barrett and Mr Vermorken, the trustee of the EBT arranged for the sale of 2,829,400 Shares on behalf of Mr Barrett and sale of 6,017,441 Shares on behalf of Mr Vermorken to institutional investors with the proceeds of such sales to be remitted to the Company to enable it to undertake the required withholding for employment taxes and the payment of the balance of the proceeds to Mr Barrett and Mr Vermorken.

Voting Rights

Following the exercise of the Options and subsequent sale of Shares, Mr Barrett's total holdings of Shares in the Company have increased by 1,073,221 Shares to 5,155,455, representing 0.46% of the total issued share capital of the Company. Mr Vermorken's total holdings have increased by 2,169,554 Shares to 3,241,848 Shares, representing 0.29% of the total issued share capital of the Company.

The total number of Shares with voting rights in the Company will remain 1,114,854,530. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Group under the Financial Conduct Authority's Disclosure Guidance and Transparency Rules.
