No intention to bid statement regarding Senior plc ("Senior")

On 27 February 2026, Advent International Limited, in its capacity as adviser to Advent International, L.P., the manager of and / or adviser to certain private equity funds ("Advent") announced in response to press speculation that it was considering a possible offer for Senior.

On 7 April 2026, Zeus UK Bidco Limited, a newly formed company to be indirectly controlled by investment funds advised by affiliates of Tinicum Incorporated and Blackstone Inc., announced a firm intention to make an offer for Senior.

Advent confirms that it does not intend to make an offer for Senior. This is a statement to which Rule 2.8 of the Code applies.

Accordingly, Advent will, except with the consent of the Takeover Panel, be bound by the restrictions under Rule 2.8 for a period of six months from the date of this statement.

Under Note 2 on Rule 2.8, Advent (and anyone acting in concert with it) reserves the right to set the restrictions in Rule 2.8 aside in the following circumstances:

(a)     with the agreement of the Board of Senior, but only in the event that the Zeus UK Bidco Limited offer for Senior has lapsed or been withdrawn;

(b)     if a third party announces a firm intention to make an offer for Senior;

(c)     if Senior announces a Rule 9 waiver proposal (see Note 1 of the Notes on Dispensations from Rule 9) or a reverse takeover (as defined in the Code); and

(d)     if there has been a material change of circumstances (as determined by the Takeover Panel).
