NOTIFICATION OF TRANSACTIONS BY PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES AND PERSONS CLOSELY ASSOCIATED

On 7 April 2026, the boards of Senior (the "Company") and Zeus UK Bidco Limited ("BidCo") announced that they had reached agreement on the terms of a recommended cash acquisition pursuant to which BidCo shall acquire the entire issued and to be issued ordinary share capital of Senior (other than the Existing Tinicum Shares) (the "Acquisition"). The Acquisition is being implemented by means of a court-sanctioned scheme of arrangement under Part 26 of the Companies Act 2006 (the "Scheme") and is subject to the terms and conditions set out in the circular in relation to the Scheme sent to Senior Shareholders dated 30 April 2026 (the "Scheme Document").

On 6 October 2026, the Company announced that the Court had sanctioned the Scheme pursuant to which the Acquisition is being implemented.

As a result of the Court sanctioning the Scheme, on 6 October 2026 outstanding awards and options over ordinary shares in the capital of the Company of 10 pence each granted under the Company's various share plans vested and were exercised by Persons Discharging Managerial Responsibility ("PDMRs").

The treatment of awards granted under the Senior plc 2024 Long-Term Incentive Plan (the "LTIP"), the Senior plc Enhanced Senior Management Incentive Scheme (the "Enhanced SMIS"), the Senior plc Restricted Share Award Plan (the "RSA Plan") and options under the 2025 Sharesave Plan in the event of the Acquisition being approved by the Court was set out in the Co-operation Agreement agreed between the Company and BidCo dated 7 April 2026.

Capitalised terms used in this announcement shall, unless otherwise defined, have the meanings set out in the Scheme Document.
