Notice of AGM

SEED Innovations Limited (AIM: SEED), the investing company focused on early-stage physical AI and robotics, announces that its Annual General Meeting ('AGM') will be held at 2.30 p.m. (GMT) on Friday, 13 November 2026 at Upper House, 16-20 Smith Street, St Peter Port, Guernsey.

The Notice of AGM and accompanying shareholder circular will be published today and made available on the Company's website at www.seedinnovations.co under Investor Centre / AIM Rule 26 / Admission Documents and Circulars.

In addition to the customary AGM business, shareholders will be asked to consider two proposals:

  • Share issuance authority: Approval for the Directors to issue up to 616 million new Ordinary Shares, representing approximately 200% of the Company's existing issued share capital, together with the disapplication of pre-emption rights. The proposed authority is intended to provide the Company with greater flexibility to raise additional capital to pursue investment opportunities in robotics and physical AI.
  • Proposed migration to the Isle of Man: Approval for the Company to migrate its place of incorporation from Guernsey to the Isle of Man, subject to the necessary regulatory consents. The proposed migration reflects the fact that the Company's Chairman, Jim Mellon, and Non-Executive Director, Denham Eke, conduct the substantial majority of their business activities from the Isle of Man and is intended to support their continued involvement in the Company's investing strategy.

Further details, including the Board's rationale, the financial implications of the proposed migration and the full text of the resolutions, are set out in the shareholder circular.

Shareholders wishing to attend the AGM remotely should register in advance via Investor Meet Company at https://www.investormeetcompany.com/seed-innovations-limited/register-investor.   However, please note that shareholders will not be able to vote online at the AGM via the platform and are therefore requested to submit their votes via proxy, as early as possible.

Shareholders are invited to submit any questions for the Board to consider. Questions can be pre-submitted ahead of the AGM via the Investor Meet Company Platform up until12 Nov 2026, 09:00 GMT, or submitted at any time during the AGM itself.

Investors already following SEED on the platform will automatically be invited. Immediately following the formal AGM, the Board and Investing Consultant will provide a short investor update.
