Delay to Publication of Annual Financial Report and Temporary Suspension of Trading

Sealand Capital Galaxy Limited (LSE: SCGL) announces a delay in the publication of the Company's annual ﬁnancial report for the year ended 31 December 2025 ("FY25").

The Company is working closely with its auditor, PKF Littlejohn LLP, to complete the audit of its annual financial report for FY25 and is making good progress towards completion. The Company anticipates this will be completed, and the Annual Financial Report published, during the second half of May 2026.

Following the strategic update announced in January 2026 and the associated organisational changes, additional time has been required to complete the Group's year-end reporting and audit process. The Board confirms that the delay relates solely to the timing of the audit process and that the underlying business continues to trade in line with its expectations.

The Company will accordingly not meet the 30 April 2026 deadline required by the Financial Conduct Authority's ("FCA") Disclosure Guidance and Transparency Rules to publish its annual ﬁnancial report for FY25. As a result, the Company has applied to have its listing suspended in accordance with FCA requirements with effect from 07.30 a.m. on 1 May 2026.

The Company will request a restoration of the listing of its shares on publication of its FY25 audited ﬁnancial report. The Company will provide further updates as appropriate.
