NOTICE IS HEREBY GIVEN that the 2026 Fourth Extraordinary General Meeting of SDIC Power Holdings CO., LTD. will be held at Meeting Room 207, No. 147, Xizhimen Nanxiaojie Street, Xicheng District, Beijing, the PRC, on Thursday, October 8, 2026 at 14:00 p.m., for the purpose of considering, and if thought fit, passing the following resolution.

1. Proposal on the Subsidiary's Registration and Issuance of Ultra Short-Term Financing Bonds

Proposal I

 

Proposal of SDIC Power Holdings Co., Ltd. on the Subsidiary's Registration and Issuance of Ultra Short-Term Financing Bonds

 

Dear shareholders and shareholders' representatives,

To expand the reserve of debt financing instruments and meet short-term capital requirements, Yalong River Hydropower Development Co., Ltd. ("Yalong Hydro"), a controlled subsidiary of SDIC Power Holdings Co., Ltd. (hereinafter referred to as the "Company"), intends to apply for registration and issuance of ultra short-term financing bonds.     

Relevant particulars are reported as follows:

(I) Registration scale and issuance arrangement

The proposed registration quota for ultra short-term financing bonds shall not exceed RMB 8.0 billion (inclusive). The final registered amount shall be subject to the quota stated in the official registration approval document obtained. Within the registered quota and its validity period, the bonds may be issued in tranches at opportune times based on Yalong Hydro's actual capital needs and market conditions.

(II) Tenor

The tenor of the proposed ultra short-term financing bonds shall not exceed 270 days (inclusive). The specific tenor shall be determined in light of Yalong Hydro's capital requirements and market conditions at the time of issuance.

(III) Issuance interest rate

The actual issuance interest rate shall be determined according to market conditions prevailing at the time of issuance.

(IV) Use of proceeds

Subject to Yalong Hydro's actual needs, the proceeds raised are proposed to be used for repaying maturing debts, supplementing working capital, or other purposes permitted by regulatory authorities.

(V) Validity period of the resolution

The validity period of the resolution of this proposal is 24 months from the date of approval by the general meeting of shareholders. If Yalong Hydro obtains approval, license, registration, or filing of the issuance from the regulatory authorities within the validity period of the resolution, it may complete the relevant issuance within the validity period confirmed by such approval, license, registration or filing.

To ensure the lawful and efficient completion of the registration and issuance of ultra short-term financing bonds, In accordance with applicable national laws and regulations and the relevant provisions of the Company's Articles of Association, it is proposed that Yalong River Hydropower be granted full authority to handle all matters relating to the registration and issuance.

The above proposal was deliberated and approved at the 17th meeting of the 13th Board of Directors of the Company on September 17, 2026, and is hereby presented to you for deliberation.
